Terms and Conditions

These Terms and Conditions (the “Terms”) are the agreement between you and the operator of Unvld (“Unvld,” “we,” “us”) covering your use of the Unvld platform, the Cayhil assistant inside it, and everything we offer at unvld.co. By creating an account or using Unvld, you agree to these Terms. If you do not agree, do not use Unvld.

Our Privacy Policy explains what we do with your data and is part of this agreement.

The short version

This summary is for convenience only and is not part of the agreement.

  • You keep ownership of everything you put in.
  • Unvld does not process, hold, or transfer funds. You send the invoices it generates.
  • Cayhil only changes records inside your account, and does not contact brands on your behalf.
  • Contract reviews and fee guidance are informational, not legal or financial advice.
  • You can close your account at any time; your data stays retrievable for 30 days afterwards.

1. What Unvld is

Unvld is a business-operations platform for creators who manage their own brand partnerships. It gives you one place to keep:

  • brands, agencies, and the contacts you work with;
  • conversations and inbound interest before a deal exists;
  • deal terms — fee, deliverable line items, usage rights, exclusivity, and timing;
  • deliverables, draft rounds, approvals, and posting dates;
  • contracts and the documents attached to them;
  • invoices you generate and the payments you choose to record; and
  • a calendar, dashboard, and financial views built from all of the above.

Cayhil is the AI assistant inside Unvld. It can read your records, answer questions, draft language, flag risks, and — when you ask it to — create and change records on your behalf. Section 7 covers Cayhil in full.

What Unvld is not

Unvld is a working record that you maintain. It is only as accurate as you keep it. Specifically, Unvld is not:

  • a bank, payment processor, escrow service, or money transmitter. We never receive, hold, or send your money.
  • an accounting, bookkeeping, payroll, or tax service.
  • a law firm. Nothing in the product is legal advice.
  • your agent, manager, or representative. We do not negotiate with brands, contact anyone on your behalf, or send anything outside Unvld.
  • a record of anything that happened outside Unvld. Whether an email was sent, a contract was signed, or money moved, Unvld knows only what you or Cayhil recorded in it.

2. What Unvld costs

Unvld is currently free to use. There is no subscription and no card on file.

If we begin charging, we will tell you before your account is charged, and you will not be charged without first agreeing to the pricing terms. Those terms will cover plans and fees, billing cycles and renewal, cancellation, refunds, taxes, and how we handle a price change. Until you agree to them, nothing about your account changes.

3. Eligibility and your account

Eligibility

You must be at least 18 years old to use Unvld. By creating an account you confirm that you meet that requirement. If you use Unvld for a company or your own business entity, you confirm that you are authorized to accept these Terms on its behalf.

You represent that you are not located in a country subject to a U.S. government embargo, and that you are not on any U.S. government list of restricted or denied parties.

Your account

You can sign in with an email address and password or with Google. You agree to give accurate information and keep it current. You are responsible for keeping your credentials confidential and for everything that happens under your account.

Unvld accounts are individual and may not be shared. Anyone who can sign in as you can see and change everything in your account, including contract documents, deal terms, and financial figures. Email hello@unvld.co promptly if you believe your account has been accessed without your permission.

4. Your content and your data

You own your content

“Your Content” means everything you put into your account, and everything Cayhil records there at your direction: deals, terms, notes, contacts, uploaded documents, invoices, and your messages to Cayhil. You keep all rights to it. We claim no ownership over your brand-deal business.

The license you give us

To run the service, you grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, and process Your Content, and to generate records derived from it — execution deliverables built from your deal terms, invoice PDFs, dashboards, summaries, and AI output. We use this license solely to operate, secure, and support Unvld for you, and as described in the Privacy Policy. It ends when you delete the content or close your account, except for copies held in routine backups and logs for a limited period.

Aggregated and de-identified data

We may produce aggregated and de-identified statistics from activity across the platform — for example, typical fee ranges for a kind of deliverable — and may use them for any business purpose, including building features such as compensation benchmarks, improving the service, and publishing industry insights. Aggregated data does not identify you, your brands, or any individual deal, and we will not attempt to re-identify it or disclose it in a form that identifies you.

Documents you upload

You are responsible for having the right to upload every document you add to Unvld, including contracts, briefs, and drafts. Do not upload material you are contractually or legally barred from sharing.

Information about other people

Unvld holds information about people who are not Unvld users — brand marketing managers, agency contacts, and the senders of email you forward. When you enter or import that information, you confirm that you obtained it lawfully in the course of your own business and may use it this way, and you remain responsible for how you use it.

Unvld is built to hold the things a creator invoice needs: your own W-9, and the payment instructions you want printed on your invoices. Do not use Unvld to store payment card numbers, bank login credentials, health information, or government ID numbers belonging to anyone other than yourself.

Feedback

If you send us ideas, bug reports, or suggestions about the product, we may use them freely and without obligation to you.

5. Email you forward to Unvld

Unvld gives your account a private forwarding address at inbox.unvld.co. Email you forward there is processed to extract deal information — brand, fee, deliverables, usage rights, exclusivity, contacts, and stage hints — which then appears in your Inbox for review. Nothing is created in your records from a forwarded email until you approve it.

When you forward email, you are responsible for the following.

  • You have the right to forward that message and its attachments.
  • You understand that the message body, headers, sender details, and attachments are stored in your Unvld account and processed by our systems and by third-party AI providers.
  • You will not forward messages containing privileged material, other people’s sensitive personal information, or content you are contractually barred from sharing.

Your forwarding address is specific to your account, and anyone who knows it can send mail into your review queue, so treat it as private. We may filter, ignore, or stop processing mail that appears to be spam, is oversized, or otherwise places an unreasonable load on the service.

6. The shared brand contact directory

Unvld includes a community-contributed directory of brand contacts. Access is contribution-gated: contributing verified contacts earns the ability to reveal contact details other creators have contributed.

If you contribute a contact

  • You confirm the information is accurate as far as you know, and that you obtained it lawfully through your own business dealings.
  • You grant us a perpetual, worldwide, royalty-free license to include it in the directory and make it available to other Unvld users. This license has to be perpetual because a contribution cannot be recalled from creators who have already seen it. This applies only to contacts you deliberately submit through the contribute flow. Nothing in your own contacts is ever added to the directory.
  • We may review, correct, merge, or remove any contribution, and we may remove directory access from anyone who submits inaccurate or improperly obtained information.

If you reveal a contact

  • Use it for genuine business outreach about your own creator work.
  • Do not export, scrape, resell, redistribute, or bulk-collect the directory, and do not use it to build or supply a competing contact database.
  • Do not use it to send unsolicited bulk email, and comply with applicable anti-spam law.
  • Honor any request from a contact to stop contacting them.

We do not warrant that directory information is accurate, current, or complete, and we do not promise that any contact will respond. Report a problem with a directory entry through the in-product flag or by emailing hello@unvld.co.

7. Cayhil and AI features

What Cayhil can do

Cayhil can read the records in your account and make changes to them at your direction. It operates only within your account, cannot access another user’s data, and cannot take action outside Unvld.

Confirm mode and auto mode

By default Cayhil shows you what it intends to change and waits for you to confirm. You can turn on auto mode, which lets Cayhil apply changes without a separate confirmation step. In both modes Cayhil keeps a record of what it changed.

Cayhil does not send email, invoices, or other communications to brands or anyone else on your behalf.

Undo restores records within Unvld where possible. It does not reverse effects outside Unvld, and we do not guarantee that any change can be reversed. Auto mode is your choice, and changes Cayhil makes under it are treated as yours.

AI output can be wrong

Cayhil, contract review, email extraction, fee assessments, deadline checks, and pitch drafts are produced by AI language models. They can be incomplete, out of date, or plainly wrong, including about your own records. Review anything that matters before you rely on it, send it to a brand, or make a decision based on it.

AI contract review is not legal advice

Unvld can analyze a brand contract you upload and compare it against a checklist and the deal terms you recorded. It is an informational tool. It is not legal advice, it is not a substitute for a lawyer, it does not create a lawyer-client relationship with Unvld or anyone at Unvld, and no one at Unvld is acting as your attorney.

A contract review is not a complete review of the contract. We make no representation that a review identifies every material term, risk, or obligation in a document, and a review may characterize a clause differently than a lawyer would. You are solely responsible for the decision to sign, refuse, or negotiate any agreement, and you should have a qualified attorney review any contract before you sign it. Unvld is not a party to and is not responsible for the terms of any agreement you enter into.

Not financial, tax, or accounting advice

Fee guidance, preferred-range comparisons, cash-flow views, commission-savings figures, and every other number Unvld shows you are informational. They are calculated from what you recorded and are not financial, investment, tax, or accounting advice.

Third-party AI providers

AI features send the relevant content — including deal terms, uploaded contract documents, and forwarded email — to third-party model providers for processing. The Privacy Policy describes how that works.

You are responsible for what you authorize

Anything Cayhil does in your account is treated as your action, whether you confirmed it individually or authorized it in advance by enabling auto mode.

8. Invoices, payments, and financial records

Unvld records financial information. It does not process, hold, or transfer funds.

  • We generate invoice PDFs. We do not send them. Unvld prepares an invoice from your deal and payment records and gives you a PDF. You send it to the brand yourself, however you normally do.
  • We do not collect, hold, or disburse funds. Unvld has no connection to your bank account, and no money passes through Unvld at any point.
  • We do not know whether you were paid. Sent dates, payments, and payment methods are records you choose to enter. If you do not record them, Unvld does not know about them.
  • Suggestions are not obligations. Unvld may suggest that an invoice looks ready to send based on your own records. That is a prompt for you, not a statement that a brand legally owes you money, and not a legal demand for payment.
  • Totals are only as good as your records. Pipeline value, invoiced, paid, outstanding, overdue, projections, and commission-savings figures are derived from what you entered. They are not reconciled against any bank or brand system, they are not books of record, and they should not be filed with a tax authority or relied on for accounting without independent verification.

You are solely responsible for your own invoicing, collections, bookkeeping, and tax obligations, and for any agreement between you and a brand. Unvld is not a party to your brand deals.

9. Acceptable use

You agree not to use Unvld to:

  • break any applicable law or regulation;
  • violate an agreement you have with a brand, agency, or anyone else, including confidentiality, usage, or exclusivity terms you have signed;
  • infringe anyone’s intellectual property, privacy, or publicity rights;
  • scrape, crawl, harvest, or bulk-export data from the platform, including the shared contact directory, by any automated means;
  • resell, sublicense, white-label, or otherwise make Unvld available to people who are not authorized users of your account;
  • build or assist in building a competing product from the platform, its output, or its underlying prompts, rubrics, and guidance content;
  • send unsolicited bulk messages, or misrepresent who you are when contacting a brand;
  • probe, scan, overload, or interfere with the service, or attempt to reach data belonging to another user;
  • upload malware, or use the service to store or distribute unlawful content;
  • attempt to make Cayhil act outside its defined actions, reach another user’s data, or bypass a confirmation step; or
  • create multiple accounts to work around a limit, a suspension, or the contribution requirements of the shared directory.

10. Our intellectual property

Unvld — the platform, its software, design, guides, rubrics, prompts, guidance content, and the Unvld and Cayhil names and logos — belongs to us and is protected by intellectual property law. While your account is active, we grant you a limited, revocable, non-transferable, non-sublicensable right to use Unvld for your own creator business. You may not copy, modify, reverse engineer, frame, or create derivative works from the platform.

Output that Cayhil produces from your data — drafts, invoice PDFs, summaries, contract reviews — is yours to use for your business, subject to Section 9.

11. Third-party services

Unvld runs on third-party infrastructure and uses third-party providers for hosting, storage, email delivery, background processing, and AI models. It also stores links you paste to files held elsewhere, such as a brief in a shared drive or a draft in a cloud folder. We do not control those services, we are not responsible for their content or availability, and their terms apply to your use of them.

12. Availability, changes, and shutting down

Unvld is provided on an “as is” and “as available” basis. We do not offer an uptime guarantee, a service-level agreement, or a committed support response time. The service can go down for maintenance, for a problem at a provider we depend on, or for reasons outside our control, and that can happen without warning. No representation about availability or support outside this agreement forms part of it.

We may add, change, suspend, or remove any part of Unvld, with or without notice. Support is offered on a best-effort basis by email at hello@unvld.co.

Where a change materially affects records you have already entered, we will give notice where reasonably practicable.

If we shut Unvld down

If we discontinue Unvld, we will give account holders at least 60 days' notice by email where reasonably practicable. During that period you can sign in, download any document you uploaded and any invoice PDF you generated, and request a complete copy of your records.

This does not apply where discontinuation is required by law or caused by circumstances outside our reasonable control.

13. Disclaimer of warranties

To the fullest extent permitted by law, Unvld is provided without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that:

  • the service will be uninterrupted, secure, or error-free;
  • any AI output, contract review, extraction, benchmark, or calculation will be accurate, complete, or suitable for your situation;
  • information in the shared contact directory is accurate or current;
  • defects will be corrected; or
  • the service will meet your requirements or produce any particular business result, including any deal, fee, or payment.

Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.

14. Limitation of liability

To the fullest extent permitted by law, Unvld and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunity, goodwill, or data, arising from or relating to your use of Unvld — even if we were advised that such damages were possible.

This includes, without limitation, losses arising from:

  • a decision you made in reliance on AI output, including a contract review, a fee assessment, or an extraction from a forwarded email;
  • an action Cayhil took in your account, in confirm mode or auto mode;
  • an invoice that was not sent, was sent late, or was never paid;
  • a missed deadline, a deliverable that was not delivered, or a breach of a usage or exclusivity term;
  • inaccurate, incomplete, or lost records, or service unavailability; or
  • unauthorized access to your account, or the conduct of any brand, agency, or other third party.

Our total aggregate liability for all claims relating to Unvld will not exceed the greater of (a) the total amount you paid us for Unvld in the twelve months before the event giving rise to the claim, and (b) one hundred U.S. dollars (US$100). This limit applies in the aggregate across all claims and all theories of liability, whether in contract, tort, statute, or otherwise, and applies even if a limited remedy is found to have failed of its essential purpose.

Some jurisdictions do not allow limits on certain damages, so parts of this section may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless Unvld and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and costs (including reasonable legal fees) arising from or relating to:

  • your breach of these Terms;
  • Your Content, including documents you upload, information you enter about other people, and email you forward into the platform;
  • information you contribute to the shared contact directory, and how you use contacts you reveal from it;
  • your brand deals, contracts, invoices, and tax obligations;
  • your violation of any law or of any third party’s rights, including a confidentiality, usage, or exclusivity obligation you agreed to; or
  • use of your account by anyone using your credentials.

We will notify you of any claim covered by this section. We may take over the defense and control of any such claim at your expense, in which case you agree to cooperate with us. You may not settle any claim in a way that imposes an obligation on us, or admits fault on our behalf, without our prior written consent.

16. Termination and your data

Ending your account

You may stop using Unvld at any time. To close your account and have your data removed, email hello@unvld.co.

Termination by us

We may suspend or terminate your access, with or without notice, if you breach these Terms, or if we reasonably believe your use is unlawful or harmful to other users or the service. We may also stop offering Unvld entirely, on the terms in Section 12.

Keeping a copy of your records

Email hello@unvld.co and we will send you a complete copy of your data in a commonly used, machine-readable format within a reasonable period after we verify your request. Invoice PDFs and any document you uploaded can be downloaded from the app at any time, including right before you close your account.

After termination

Your right to use Unvld ends immediately, but your data stays retrievable for 30 days afterwards — ask within that window and we will still send you a copy. After 30 days we delete it, subject to routine backups and any records we are required to keep. Sections that by their nature should survive — including your content license for the shared directory, intellectual property, disclaimers, limitation of liability, indemnification, and governing law — survive termination.

17. Changes to these Terms

We may update these Terms as the product changes. When a change is material, we will let you know by email or in the app before it takes effect. The “last updated” date at the top of this page always reflects the current version. Continuing to use Unvld after a change takes effect means you accept the updated Terms; if you do not accept them, stop using Unvld and close your account.

18. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You and Unvld agree that any dispute arising out of or relating to these Terms or your use of Unvld will be brought exclusively in the state or federal courts located in Los Angeles County, California, and each of us consents to personal jurisdiction and venue there.

Any claim must be brought in an individual capacity and not as a plaintiff or class member in any class, consolidated, or representative proceeding. You and Unvld each waive any right to a trial by jury.

Any claim relating to Unvld must be brought within one year after it arises, or it is permanently barred, to the extent applicable law allows.

Before filing anything, email hello@unvld.co — we would rather sort it out directly.

19. General terms

Entire agreement

These Terms and the Privacy Policy are the whole agreement between you and Unvld about the service, and replace any earlier understanding about it.

Severability and waiver

If any provision is found unenforceable, the rest stays in force. If we do not enforce a right, that is not a waiver of it.

Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign ours, including in connection with a merger, acquisition, or sale of assets.

No agency

These Terms do not create a partnership, joint venture, employment, or agency relationship between you and Unvld, and there are no third-party beneficiaries.

Notices

We may send you notices by email to the address on your account or through the app. You can reach us at hello@unvld.co.

Events outside our control

We are not liable for a failure or delay caused by something outside our reasonable control, including provider outages, network failures, and acts of government.
